Senior Governance Adviser/Senior Assistant Company Secretary

What you’ll do
- Providing high-quality support and advice to clients across all aspects of governance and company secretarial work, including (but not limited to):
- Preparing and reviewing annual reports
- Managing AGMs and general meetings
- Acting as Secretary for board and committee meetings – including minuting, creating board packs and papers
- Overseeing insider lists, share dealing policies and MAR compliance
- Completing regulatory filings with Companies House, the FCA and other bodies
- Leading on governance and company secretarial projects such as M&A, share capital projects, new framework implementation, compliance health checks, and gap analyses against governance codes
- Managing cash and DRIP dividends
- Supporting on share schemes (EMI, LTIP, CIP, SIP, SAYE)
- Overseeing subsidiary governance, statutory compliance and entity management
Beyond delivery, you’ll bring ideas that drive efficiency, effectiveness, and growth—while safeguarding your clients’ reputations.
How you’ll work
- Assignments may be ongoing through our CoSec on Demand service, or on a project basis.
- You’ll contribute to raising the profile of Beyond Governance through client work, supporting sales and marketing initiatives, and—in time—participating in webinars and podcasts alongside senior team members.
- You will be expected to have line management responsibility.
- Flexibility is built-in: you’ll mostly work remotely but need to be flexible to work in client offices as required (travel costs to client offices are covered by BG), potentially up to 3 days per week in office attendance.
What we’re looking for
- Mandatory: Fully CGIUK&I qualified either ACG or FCG, with a minimum of 10 years in-house governance team experience
- A self-starter with strong technical expertise, able to work independently while collaborating closely with our supportive team
