Position Description

The Fund Structuring Senior Associate will be responsible for supporting the product lifecycle management of the Partners Capital private funds. There is currently $18 billion+ AUM within 80+ multi-asset class private funds, and the Fund Structuring Senior Associate will be responsible for projects associated with these existing funds and new funds that are launched annually. The ideal candidate will have prior experience in fund operations for private equity and/or hedge funds. The successful applicant should be ready for wide ranging responsibilities in multiple areas and will be expected to be flexible and willing to contribute to the firm’s continued success.

Key Responsibilities include but are not limited to:

Strategic Fund Project Support:

  • Act as the project manager for new fund launch and existing fund liquidations. Liaise with various internal and external stakeholders to define legal structures, design term sheets and manage the fund closing process with external counsel.
  • Assist in the preparation and execution of other fund transactions, such fund term changes, fund secondary sales, and lending facility set up/renewal.
  • Maintain and enhance playbooks, ensuring a structured, repeatable framework to ensure a consistent approach, mitigate risk, and assign responsibility.
  • Ensure our internal systems are set up to accurately reflect the current terms and conditions of our private funds.
  • Assist in the preparation and distribution of shareholder communications, where needed.
  • Facilitate effective communication between the board of directors, fund managers, and various internal and external shareholders.
  • Respond to information requests from stakeholders in a timely and professional manner.

Governance and Regulatory Support:

  • Serve as the primary point of contact for board members, external counsel, and senior management on fund governance matters.
  • Coordinate and attend board and committee meetings, including the preparation and distribution of agendas, presentation materials, and meeting minutes.
  • Ensure that all statutory and regulatory requirements are met, including the filing of necessary documents with regulatory bodies.
  • Monitor changes in relevant legislation and regulatory environments and provide guidance on compliance requirements. Liaise with external counsel on all regulatory changes.
  • Be the point person and SME for the firm’s private fund platform, triaging and resolving queries and providing clear internal guidance on fund terms, fee mechanics, liquidity, side letters etc.
  • Maintain up-to-date knowledge of fund governance and regulatory best practices.
  • Maintain accurate and up-to-date records of board and committee meetings, including action items, resolutions, and meeting minutes.
Qualifications / Attributes

Qualifications:

  • Bachelor’s degree in Finance, Accounting, Business Administration, or a related field would be ideal. A professional qualification (e.g., ACA, CFA) is preferred.
  • Approximately 5+ years’ experience working with private funds in the financial services industry.
  • In-depth knowledge of fund structures, fund launches, lending facilities corporate governance, and fund regulatory requirements.
  • Experience working on Luxembourg domiciled private funds and operating within the AIFMD framework is a plus.
  • Strong organizational and project management skills, with the ability to manage multiple tasks and deadlines.
  • Proven ability to work with senior management and board members.
  • High attention to detail and a proactive approach to problem-solving.
  • Excellent verbal and written communication skills.
  • Strong interpersonal skills and the ability to build relationships with stakeholders at all levels.
  • High degree of integrity and professional ethics.
  • Ability to work independently, creatively, and flexibly as part of a team.
  • Proficiency in Microsoft Office Suite and familiarity with corporate governance software tools.
  • Experience with PowerBI (visualization tool) or Monday.com (project management software) is a plus.
