The Role
The Company Secretarial Director provides strategic leadership and oversight of the company secretarial function, ensuring the delivery of exceptional services including statutory compliance, board support, and corporate restructuring for a diverse client portfolio. The role involves managing key client relationships, driving operational excellence through onshore and offshore teams, championing process innovation and handling complex cases. The Director also plays a pivotal role in business development, client onboarding, and aligning the service line with the firm’s wider strategic objectives.
Key Responsibilities:
Clients / Technical Delivery
- Act as a senior adviser to clients, providing expert guidance on company secretarial and complex corporate matters.
- Build trusted relationships with boards and senior stakeholders, delivering strategic advice that adds measurable value.
- Oversee all company secretarial assignments using the CRO offering, ensuring technical excellence and adherence to UK company law.
- Represent the firm at client meetings, presentations, and industry events as a subject matter expert.
- Proactively identify compliance risks and implement robust governance frameworks.
Commercial
- Drive revenue growth through client retention, cross-selling, and new business opportunities.
- Collaborate with Partners and Marketing on proposals, pitches, and onboarding strategies.
- Act as a brand ambassador, representing the firm and service line professionally.
- Take ownership of departmental financial performance, including budgeting, forecasting, and profitability.
- Contribute to strategic decision-making at leadership level, ensuring alignment with firm-wide objectives.
Knowledge and Innovation
- Maintain deep technical expertise and ensure the team meets professional standards.
- Champion process improvements and digital transformation to enhance efficiency and scalability.
- Share knowledge internally and externally, positioning the firm as a thought leader.
- Foster a culture of innovation and continuous improvement within the team.
People / Team Management
- Lead, mentor, and develop a high-performing CoSec team, setting objectives, conducting reviews, and planning succession.
- Promote an inclusive, collaborative culture that values wellbeing and professional growth.
- Ensure resource planning and team structure meet client and business demands effectively.
- Support junior staff development through training, coaching, and participation in networking events.
Qualifications, Knowledge & Experience:
- Extensive experience in corporate governance and company secretarial services within professional services or legal environments.
- Proven ability to lead multi-level teams and manage complex client portfolios.
- Strong commercial acumen with experience in budgeting, resource planning, and profitability management.
- Exceptional communication and influencing skills, with confidence engaging at board level.
- Advanced knowledge of UK company law and governance frameworks.
- Demonstrated ability to drive strategic initiatives and deliver operational excellence.
