Position Summary

As Senior Legal Counsel, Digital Partnerships, you will provide key legal support for enterprise digital partnerships with third parties including health care providers, payors, and other health and wellness products and services. You will collaborate closely with internal digital, data, analytics, technology, and other business partners to build a useful and transparent digital health ecosystem for our patients, members, and customers.

You will draft and negotiate relevant agreements; design, implement, and manage processes for contracting at scale; proactively identify business and legal risks; and provide solutions to balance risks with business objectives. Your expertise in health care, data use, and digital technology will allow you to understand and support the business and operational goals of internal clients across the CVS Health enterprise, including CVS Pharmacy, MinuteClinic, Aetna, Caremark, and others.

As part of the CVS Health Legal team, you will gain experience working in a sophisticated and dynamic in-house legal department advising innovative consumer offerings.

Primary Duties and Responsibilities
  • Drafting, negotiating, and executing agreements with third parties including health care providers, payors, and other health and wellness providers for products and services available via CVS Health digital assets, including specifically the CVS Health app
  • Providing timely and strategic legal advice to internal business clients on structuring partnerships while meeting business objectives
  • Designing, building, and managing efficient, repeatable, and client-friendly processes for negotiating and contracting with many third parties simultaneously and at scale.
  • Developing deep understanding of enterprise operational systems and technology relevant to assigned areas
  • Consulting with other subject matter legal/compliance experts, including, Privacy and Information Governance, Network Counsel, Regional Counsel, Litigation, Government Affairs, and Compliance.
  • Other legal support for digital teams
Required Qualifications
  • 8+ years of legal experience with a law firm, health care, digital technology company focused on issues related to health care regulatory law in a sophisticated or complex environment
  • Experience supporting businesses with mobile apps and online platforms providing multiple and/or regulated services
  • Experience drafting and negotiating complex services, hosting, and/or licensing agreements
  • Experience managing high-volume contracting workflows
  • Ability to synthesize and apply multiple regulatory frameworks to business activities.
  • Analytical skills and strong legal project management and facilitation skills.
  • Ability to work both independently and collaboratively effectively and work as a team player
  • Excellent written and verbal communication skills, initiative, and drive
  • Admitted to practice law in at least one state and member in good standing of applicable state bar association(s)
Preferred Qualifications
  • Subject matter expertise of health care laws and regulations, including the Anti-Kickback Statute, the Stark law, the False Claims Act, HIPAA, state consumer privacy laws, interoperability regulations
  • An understanding of the broader health care industry, including health plan and provider types and structures, PBMs, telehealth delivery modalities, wellness programs, etc.
  • Experience with issues related to FDA regulation of software

  • Bachelor\'s Degree and Juris Doctorate
Pay Range

The typical pay range for this role is:

$175,100.00 - $334,750.00

This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. This position also includes an award target in the company’s equity award program.
