Position Overview

We are seeking a Corporate Counsel – Contracts to join our growing team in San Ramon, CA. This role is a key business partner across ARC, responsible for providing practical legal support and guidance on a broad range of commercial contracting matters. You’ll draft, negotiate, and manage complex agreements while ensuring business goals align with compliance and risk management standards.

What You’ll Do
  • Draft, review, and negotiate a variety of commercial agreements — including customer, vendor, SaaS/software, consulting, licensing, and partnership contracts.
  • Advise internal teams (Sales, Procurement, Operations, Finance, HR, and IT) on contract terms, interpretation, and risk management strategies.
  • Develop and maintain contract templates, playbooks, and standardized terms to drive consistency and efficiency.
  • Collaborate cross-functionally to ensure agreements align with business objectives and compliance requirements.
  • Support corporate governance and compliance initiatives, maintaining records and assisting with audits.
  • Monitor and interpret changes in laws and regulations impacting ARC’s operations.
  • Assist in dispute resolution and litigation support as needed.
  • Provide training and guidance to business teams on best practices and legal risk awareness.
What You Bring
  • Juris Doctor (J.D.) from an accredited law school.
  • Active Bar Membership in good standing in California.
  • 3–5 years of experience in commercial contracting (in‑house experience strongly preferred).
  • Strong understanding of contract law, commercial transactions, and risk management.
  • Excellent drafting, negotiation, and communication skills, with the ability to explain complex legal topics clearly.
  • Highly organized, detail‑oriented, and capable of managing multiple priorities in a fast‑paced environment.
  • Collaborative, business‑minded approach to problem‑solving and supporting company goals.
Preferred Qualifications
  • Experience in the print, graphics, or technology services industries.
  • Familiarity with privacy laws and data protection (e.g., GDPR, CCPA).
  • Experience with contract management systems or automation tools.
