The Legal Team in Ireland supports the business of Utmost PanEurope dac and the wider Utmost Group, in co-operation with the Legal Teams based in Luxembourg, the Isle of Man and Guernsey. The successful role holder will be responsible for engaging with counterparties and finalising commercial contracts, including asset management, custody and distribution agreements, and must have significant technical competence and practical experience in all aspects of commercial contract negotiation as well as in regulatory analysis. The successful role holder will assist in advising the business on ad-hoc legal issues, commercial disputes and responding to legal queries; and must therefore have demonstrable experience in undertaking legal research and providing legal advice in either a private practice setting or in-house legal environment. The successful role holder must be capable of dealing with compliance matters and understand and research technical, legal and regulatory issues. The role holder must also show confidence in their knowledge, develop an understanding of how the business works and ensure that they communicate effectively to their peers and management Utmost PanEurope and the wider Utmost Group. ***This role is a controlled function as defined by the Central Bank Reform Act 2010, Regulations (2011). The successful candidate will provide expert legal advice, ensuring compliance with industry regulations, and mitigation of key legal risks. | | | | | --- | | **Finalise Approved Template Agreements:** * Reviewing existing template agreements and improve if necessary; * Drafting new template agreements/documents as required. **Contract Negotiation:** * Drafting, reviewing, negotiating and revising various types of agreements such as non-disclosure agreements, settlement agreements, IT agreements, services agreements, with a focus on commercial agreements with the Company’s partners including custodians, asset manager and financial intermediaries. * Engage with other Utmost Group entities in order to finalise intra-group agreements. **Complaints Handling:** * Assisting the business in drafting correspondence for complaints raised to the Financial Services and Pensions Ombudsman (the “FSPO”) and ensuring strict FSPO deadlines are met. * Providing support to the business in responding to complex or non-standard complaints; **Advisory Role:** * Engaging with various teams in including Sales, Product Development, Risk & Compliance, Risk team, Operations and investment Control team and senior management of the Company as necessary, as well as with teams in other entities within the Utmost group of companies. * Draft advice to the Head of Legal / business in respect of ad-hoc legal issues, queries and/or commercial disputes. * Assist in drafting correspondence to third parties concerning commercial disputes. **Board Committee Reporting:** * Preparing and submitting memoranda and reports to the Head of Legal for presentation at Company Boards/Committees, as needed. **Other Duties:** * Legal Risk Assessment * Contribute to ad-hoc projects * Assist the Data Protection Officer in relation to data protection queries | || | | | | --- | | | || | | | | --- | | * Qualified to practice as a solicitor or barrister in Ireland; * A minimum of 3 years’ commercial contract experience either in-house with a major corporate or at a renowned law firm. Preference will be given to a candidate who has experience in financial services; * A minimum of 3 years’ European cross border insurance experience or 2 years life assurance product knowledge would be advantageous but not essential. * Contract negotiation experience; * Experience in undertaking legal research and providing legal advice in either a private practice setting or in-house legal environment; * A thorough understanding and knowledge of commercial and corporate law; knowledge of data protection law; * Financial services experience, especially in the asset management and/or insurance area; **Skills** * Strong communication and presentation skills; * Excellent drafting and report writing skills; **Behaviours** * An ability to deliver high quality work with great attention to detail. * Analytical mind/capability; * An ability to prioritise work load and time management * Collaborative approach to teamwork whilst working autonomously and on own initiative; * Good commercial and business acumen; * Versatile and confident working within complex, multi jurisdiction environment; and * Practical approach to assigned work. | || | Yes |
